Terms of Service

1. Introduction

Welcome to Kuppio Order. These Terms of Service ("Terms") govern your use of the Kuppio Order mobile application and related services ("Service") operated by IT-MT Development Solutions DOO Pančevo ("Company", "we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Definitions

• "App" means the Kuppio Order mobile application available on iOS and Android platforms and as a web application.
• "User" or "you" means any individual who registers for or uses the Service.
• "Restaurant" or "Merchant" means a food service provider listed on our platform.
• "Order" means a request placed through the App to purchase food, beverages, or other items from a Restaurant.
• "Rewards" means the loyalty points and tier system operated through the App.

3. Account Registration

To use the Service, you must create an account by providing a valid phone number and completing SMS verification. You must also provide your name and email address.

• You must be at least 13 years of age to create an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate and complete information during registration.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or our Acceptable Use Policy.

4. Orders & Transactions

When you place an Order through the App:

• Your Order constitutes an offer to purchase items from the selected Restaurant.
• The Restaurant may accept or reject your Order at its discretion.
• An Order is confirmed only when the Restaurant explicitly accepts it.
• Prices displayed in the App are set by the Restaurant and may change without notice.
• You are responsible for reviewing your Order details before submission.
• We are a technology platform facilitating transactions between you and Restaurants. We are not the seller of food or beverages.

5. Payment Terms

Payment for Orders is processed through our supported payment methods:

• Online payments: Processed securely through Stripe and/or local Serbian payment processors.
• Cash on delivery/pickup: Where offered by the Restaurant.

By submitting payment information, you authorize us and our payment processors to charge the applicable amount. All prices include applicable taxes unless otherwise stated. You are responsible for any additional fees charged by your bank or payment provider.

6. Delivery Terms

• Delivery availability, areas, times, and fees are determined by each Restaurant.
• Estimated delivery times are approximate and not guaranteed.
• You must provide an accurate delivery address and be available to receive the delivery.
• We are not responsible for delays caused by incorrect addresses, unavailability of the recipient, or circumstances beyond the Restaurant's control.

7. Rewards & Loyalty Program

Kuppio Order includes a loyalty rewards program:

• You earn points on qualifying Orders as determined by the program rules.
• Points accumulate toward reward tier levels with associated benefits.
• Reward points have no cash value and cannot be transferred, sold, or exchanged for cash.
• We reserve the right to modify the rewards program, including point values, tier thresholds, and benefits, at any time with reasonable notice.
• Fraudulent or manipulative activity to earn or redeem points may result in forfeiture of all rewards and account termination.

8. Ratings & Reviews

• You may rate and review Orders and Restaurants through the App.
• Ratings and reviews must be honest, based on genuine experiences, and comply with our Acceptable Use Policy.
• We reserve the right to remove reviews that are fraudulent, abusive, or violate these Terms.
• By submitting a review, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content.

9. Real-Time Order Tracking

The App provides real-time order status updates. Order tracking is provided for informational purposes and may not always reflect the exact status in real time. We do not guarantee the accuracy of tracking information.

10. Table Sessions (Dine-In)

Where available, you may use the App to join a table session for dine-in ordering:

• Table sessions allow multiple users to order collaboratively from the same table.
• Each participant is responsible for their individual orders within the session.
• Table sessions are subject to the Restaurant's dine-in policies.

11. User Conduct

You agree to use the Service in accordance with these Terms and our Acceptable Use Policy. You shall not:

• Use the Service for any unlawful purpose
• Provide false or misleading information
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to any part of the Service
• Use automated means to access the Service without authorization
• Harass, abuse, or harm other users, Restaurants, or delivery personnel

12. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, software, and the underlying technology — are the property of IT-MT Development Solutions DOO Pančevo or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable right to use the App for personal, non-commercial purposes in accordance with these Terms and the End User License Agreement.

13. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the quality, safety, or legality of food or items ordered through the Service, which is the responsibility of the respective Restaurant.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IT-MT DEVELOPMENT SOLUTIONS DOO PANČEVO, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless IT-MT Development Solutions DOO Pančevo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service or violation of these Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Serbia. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Pančevo, Serbia.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated through the App or by email at least 15 days before they take effect. Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms.
